Do you want to build on your transactional experience in a mission driven organization that works to ensure its investments align with its mission? Come join our growing legal team to support TNC’s Finance function, with a focus on the Office of Investment that manages TNC’s endowment to advance TNC’s mission. Our legal team is also at the cutting edge of impact investing, closing over $2 billion in transactions over the last three years to advance conservation globally. As a Senior Attorney, you will provide high value legal services on complex matters around the world to advance Conservancy priorities and appropriately manage risk.
WHAT WE CAN ACHIEVE TOGETHER
The Senior Attorney provides legal advice and direction on very complex matters to assigned programs, including drafting and negotiating private investment fund, and direct investment documentation. You will also support other Finance Department functions, including advising on corporate governance matters for TNC subsidiaries. The Senior Attorney may also advise on structuring impact investing transactions, as needed, including sovereign debt and other debt and equity investment transactions and U.S. securities law compliance. The Senior Attorney ensures that transactions and activities are legally sound and consistent with the Conservancy’s mission, authority, policies, and procedures. They apply highly developed analytical and risk management.
WHAT YOU BRING
Juris Doctor or equivalent and license to practice law in at least one U.S. jurisdiction.
Five years relevant legal experience coupled with assumption of significant responsibilities for transactional work
Experience negotiating complex transactions and agreements, with a strong background in fund formation and venture capital work.
