The Senior Director, Senior Corporate Counsel is responsible for a broad range of U.S. securities and corporate law matters. Primary internal clients will include Finance, Accounting, Investor Relations, HR/Executive Compensation, Corporate Communications, Treasury, and Flex Board of Directors. This position reports to the SVP, Deputy General Counsel and may be remote with occasional travel to San Jose, CA or Austin, TX.
Here is a glimpse of what you’ll do:
Front-line responsibility for the Legal Department’s role in the preparation of the Company’s ’34 Act filings and proxy statements for annual and special meetings of shareholders.
Support in connection with corporate governance, executive compensation, capital markets, and the Board of Directors.
Partnering effectively with multiple functions including Finance, Treasury, Investor Relations, Accounting, Tax, Legal, Executive Compensation, and senior business leaders.
Working with the SVP, Deputy General Counsel in preparation of Board of Directors/Committee materials.
Serve as a trusted advisor to senior executives and the Flex Board of Directors.
Support the continuous improvement of policies and procedures.

Must be an attorney qualified to practice law in at least one U.S. state.
Must have excellent academic credentials including a law degree from a reputable law school.
Minimum of 7 years’ experience practicing as an attorney with a top-law firm or public company legal department or a combination thereof. Experience with technology companies preferred.
High level of expertise drafting public company proxy statements for annual and special meetings of shareholders, including compensation tables and compensation discussion & analysis.
High level of expertise reviewing and assisting in the preparation of public company ’34 Act filings, including annual reports on Form 10-K, quarterly reports on Form 10-Q, current reports on Form 8-K and Section 16 filings.
High level of expertise advising on executive compensation arrangements, including equity plans and 10b5-1 trading plans
High level of expertise advising on Investor Relations and Corporate Communications matters, including earnings releases, press releases, and management presentations to investors and securities professionals.
High level of expertise on governance-related matters, including stock exchange requirements and interactions with proxy advisory firms.
Experience working on treasury matters including letters of credit, parent guaranties, and intercompany loans a plus.
Work with the Senior Corporate Paralegal on corporate formation and ongoing management of international subsidiaries.
Excellent interpersonal skills, business judgment, strategic thinking, superior work ethic, and highly team-oriented.
Strong communication and presentation skills, both written and spoken with the ability to interact with people at all levels in a complex matrix organization.
Able to work efficiently with cross-functional teams and manage numerous projects simultaneously under deadline pressure.
